Terms of Service

Effective September 12, 2026

These Terms of Service govern your use of martinsintegratedsystems.com and the intake form on it. They also describe how Martin’s Integrated Systems and Villa Electric Inc. sell, design, and install commercial security systems. By using this website you agree to these terms.

If you hire us, the signed Installation Services Agreement, Exhibit A, and the itemized quote or quotes for that project are the contract for the job. Those documents control if they conflict with this page. Filling out the intake form, requesting a quote, or taking a free site assessment does not form a contract for sale or installation.

1. Who we are

Martin’s Integrated Systems (“Integrator”) sells Verkada security equipment and provides the commercial and technical work around it: specifying and supplying equipment, system design, programming, configuration, commissioning, and training. Integrator holds no license issued by the Contractors State License Board and does not perform work that license is required for.

Villa Electric Inc. (“Installing Contractor”) is a California licensed C-10 electrical contractor, License No. 1100216. It performs all work at the site for which a contractor’s license is required, including cabling, raceway, mounting, power connections, and related trim-out. Customer contracts with Installing Contractor directly for that licensed work.

Together they are the “Provider Parties.” They are separate corporations. Neither holds an ownership interest in the other. One individual serves as an officer of both companies and holds an ownership interest in each. Apart from that individual, the companies answer to different owners and keep their own officers, payroll, insurance, and financial records. They coordinate under a written intercompany agreement. That relationship is not a partnership, joint venture, general agency, or employment relationship. Neither company is the agent, employee, or alter ego of the other, except that Installing Contractor appoints Integrator as its limited agent to bill and collect the installation portion of a contract price, and for that purpose only.

Each Provider Party answers for its own performance. Neither guarantees or assumes the obligations of the other.

2. Contractor license notice

Installing Contractor discloses its license as Business and Professions Code section 7030.5 requires: Villa Electric Inc., Contractors State License Board License No. 1100216, classification C-10 Electrical. Confirm the license status and any disciplinary history at cslb.ca.gov or by calling the Contractors State License Board at (800) 321-2752.

Business and Professions Code section 7030 requires this notice:

Contractors are required by law to be licensed and regulated by the Contractors State License Board which has jurisdiction to investigate complaints against contractors if a complaint regarding a patent act or omission is filed within four years of the date of the alleged violation. A complaint regarding a latent act or omission pertaining to structural defects must be filed within 10 years of the date of the alleged violation. Any questions concerning a contractor may be referred to the Registrar, Contractors State License Board, P.O. Box 26000, Sacramento, CA 95826.

The work described in an Installation Services Agreement is commercial construction work. It is not a home improvement contract, and the home improvement requirements of Business and Professions Code sections 7151.2, 7159, and 7159.5 do not govern it.

3. Using this website

You may use this website to learn about our services and to request a site assessment or quote. Do not misuse the site, attempt to disrupt it, or submit false information. We may take down or change any part of the site at any time.

The intake form is a request, not an order. A site assessment is free and carries no obligation. Nothing on this website is an offer that you can accept by clicking. Equipment, quantities, labor, tax, and price are set only in a written quote we issue and you accept, together with a signed Installation Services Agreement.

Marketing copy, photographs, and verbal statements are not part of a contract. Manufacturer names, including Verkada, are used to identify products. Verkada and the Verkada logo are trademarks of Verkada Inc. Martin’s Integrated Systems is a registered Verkada partner and is not affiliated with or an agent of Verkada Inc.

Personal information you submit is handled as described in our Privacy Policy. The intake form is protected by reCAPTCHA, and the Google Privacy Policy and Terms of Service apply to that widget.

4. Scope of a project

When you hire us, Integrator furnishes the system itemized in the accepted quotes: typically cameras, access control, intrusion detection and alarm equipment, and related materials. Integrator engineers the design, programs and configures the system, commissions it, delivers documentation, and hands over credentials at completion.

Installing Contractor performs the installation at the site: running and terminating cabling, installing raceway and mounts, mounting and wiring devices, providing the power connections the system needs, and the incidental patching, finishing, and paint of surfaces its work disturbs.

Where a project includes fire alarm integration, Installing Contractor wires the site’s existing fire alarm to the access control controllers so designated doors release as configured. Neither Provider Party installs, replaces, programs, monitors, certifies, or services the fire alarm system itself. The customer keeps the existing fire alarm operational and code-compliant.

Anything the quotes and Exhibit A do not list is outside the job. That includes ongoing monitoring, network or IT administration beyond initial setup, repair of pre-existing wiring, service of an existing fire alarm, structural work beyond mounting and powering the system, and hazardous-material abatement. A change to scope, equipment, schedule, or price takes effect only in a signed written change order before that work begins.

5. Customer responsibilities

The customer, at no cost to the Provider Parties, will:

  • Give safe and timely access to the site during agreed work hours
  • Provide and maintain the internet connection and network the system needs, and pay for that service
  • Provide adequate power and a suitable mounting environment
  • Obtain landlord, tenant-improvement, or other third-party approvals the installation requires
  • Give accurate information about existing wiring, utilities, concealed conditions, and any hazardous material the customer knows of
  • Apply for and maintain any local alarm permit, and pay permit fees, false-alarm charges, and related fines

Installing Contractor applies for building or electrical permits its licensed work requires where the project documents say so. The customer pays those permit fees. Neither Provider Party is responsible for system features that fail because internet or network service is unavailable or changed after installation, or for damage to undisclosed utilities or structures concealed behind finished surfaces.

6. Ownership, software, and data

Integrator retains title to every device it supplies until the customer pays Integrator in full for that item. Delivery, installation, and attachment to the building do not pass title. Risk of loss for installed equipment passes to the customer on installation. Software, firmware, cloud services, and subscriptions, including Verkada licenses, belong to their manufacturers and reach the customer by license, not by sale. The customer’s right to use that software runs under the manufacturer’s own terms.

The customer’s recordings, stored data, exported footage, and user accounts belong to the customer at every stage. After installation, the customer holds the login credentials. Neither Provider Party keeps a right to access the system after the work is complete.

7. Completion, warranty, and service

Installation is complete when the system reaches Minimum Required Function: installed components power on, communicate, and perform their primary purpose as designed. The customer has five business days after substantial completion to give written notice of any item that does not meet that standard. If the customer does not, or puts the system into normal use, the system is deemed accepted.

Installing Contractor warrants its workmanship and installation materials for twelve months from substantial completion. Integrator warrants for the same period that the configuration it programmed matches the design in the quotes. Neither warranty covers the manufactured products themselves, ordinary wear, or batteries. The cameras, controllers, sensors, and other products carry the manufacturer’s warranty, which Integrator passes through to the extent it is transferable. Neither Provider Party gives a product warranty beyond the manufacturer’s warranty.

After completion, service calls are available subject to scheduling. Installing Contractor performs licensed site work. Integrator performs configuration and account service. Work covered by the twelve-month workmanship or configuration warranty is at no charge. Other service is billed at then-current rates.

The Provider Parties supply, install, and set up the system. Neither monitors, manages, maintains, operates, or supervises it after completion, and neither is a monitoring or alarm-response service. Ongoing monitoring or management requires a separate written agreement. The customer is responsible for operating and maintaining the system after acceptance.

The system is a deterrent and a tool. It does not guarantee against burglary, intrusion, fire, injury, or loss, and neither Provider Party insures the customer against any loss.

8. Payment

The customer pays the price the quotes state. Integrator invoices the full contract price. Installing Contractor appoints Integrator as its limited agent to bill and collect the installation portion, and for that purpose only. Payment to Integrator discharges the customer’s payment obligation to Installing Contractor to the extent of the amount paid. Integrator releases funds that belong to Installing Contractor within seven days of receipt, except for an amount the two companies agree in writing is in dispute.

Unless a quote or Exhibit A states otherwise, a deposit is due on signing. The balance is due fourteen days after substantial completion. The customer may withhold only an amount that reasonably reflects an item disputed in good faith, stated in writing on or before the due date. Unpaid amounts accrue interest at 2% per month (24% per year), or the maximum the law allows if that rate is lower, as Civil Code section 8800 permits the parties to fix. The customer is responsible for reasonable costs of collection.

Each Provider Party may keep a purchase money security interest in the equipment it supplies or installs until paid in full, and may record a mechanics lien and serve a stop payment notice as California law allows if an amount remains unpaid.

9. Insurance, indemnity, and limits

Installing Contractor maintains commercial general liability insurance (at least $1,000,000 each occurrence and $2,000,000 general aggregate), workers’ compensation as Labor Code section 3700 requires, and commercial automobile liability, and will name the customer as an additional insured on its CGL policy for the project on request. The customer is responsible for its own property, liability, and casualty insurance.

Each Provider Party indemnifies the customer from a third-party claim for bodily injury, death, or damage to tangible property to the extent the claim arises out of that Provider Party’s negligent act or omission or willful misconduct, limited to that party’s proportionate share of fault. The customer indemnifies each Provider Party from a third-party claim to the extent it arises out of the customer’s negligence, failure to disclose a site condition, or use or misuse of the system after acceptance. No party is required to indemnify another for that other party’s sole negligence, active negligence, or willful misconduct.

To the extent the law allows, each Provider Party’s total liability under a project agreement is limited to the amount the customer paid that Provider Party for the work or equipment that gave rise to the claim. Neither is liable for indirect, incidental, special, or consequential damages, including lost profits, lost data, or loss resulting from a crime or event the system did not prevent. That cap does not limit liability for bodily injury or death caused by a party’s own negligence, or any liability the law forbids the parties to limit. Liability is several only. Neither Provider Party is jointly liable for the other.

Neither Provider Party is responsible for loss or failure caused by an act of God or other event beyond its reasonable control, including storms, lightning, flood, fire, power surge, theft, vandalism, or a mounting surface failing.

10. Alarm permitting

Where a quote includes intrusion detection or alarm equipment, the Provider Parties will furnish the information a local permitting authority requires, including any applicable BSIS Alarm Company Operator license number. Neither Provider Party will sell, install, service, or monitor an alarm system in a way that requires an ACO license unless it holds that license or engages a licensed alarm company operator. The customer applies for and maintains any local alarm permit. Neither Provider Party applies for, holds, or renews that permit. The customer bears permit fees, false alarm charges, fines, and related enforcement.

11. Disputes and California law

California law governs these terms and any Installation Services Agreement, without regard to conflict-of-laws rules. A party claiming a breach will give written notice. The parties will meet within fifteen business days and, if that does not resolve the claim, will mediate in the county where the site is located before filing suit. A party may still record and enforce a mechanics lien, serve a stop payment notice, or seek injunctive relief without first mediating.

Every proceeding takes place in California. Suit may be filed in the superior court of the county where the site is located. No party may maintain a proceeding before a tribunal sitting outside California. Nothing in these terms waives any party’s right to a jury trial. The prevailing party in an action to enforce an Installation Services Agreement may recover reasonable attorney fees and costs.

12. Website materials

The website, its text, layout, and Martin’s Integrated Systems marks belong to Integrator or its licensors. You may not copy the site for a competing business. Product photographs and third-party logos remain the property of their owners.

13. Changes

We may update these website terms from time to time. The effective date at the top will change when we do. The current version will be posted at this URL. Changes to a signed Installation Services Agreement must be in writing and signed by each party the change affects.
